Terms of Service

1. Scope of Services

By engaging Area 9 Technology, LLC for professional services—including IT consulting, managed services, cloud migrations, security-related work, and custom software or integrations—you agree to the scope, fees, and schedule described in a written proposal, statement of work, or master services agreement. Area 9 Technology, LLC may adjust technical approaches within that scope to achieve the agreed outcomes, provided such changes are communicated when they materially affect timelines or dependencies.

2. Timelines & Third-Party Dependencies

Technology projects depend on vendor platforms, internet connectivity, licensing approvals, and client participation (approvals, access, testing). Area 9 Technology, LLC provides good-faith schedules and milestones, but dates are estimates unless expressly guaranteed in writing. Delays caused by third parties or by incomplete client inputs may extend delivery without constituting a breach by Area 9 Technology, LLC.

3. Fees & Payment

• Professional fees, retainers, and project invoices are due according to the payment terms in your agreement. Recurring managed services are typically billed in advance for each billing period.
• Charges from third parties—such as cloud providers, software licenses, domain registrars, or hardware vendors—are usually billed directly to you or passed through at cost plus any agreed handling fee, as specified in your contract.
• Failure to pay amounts when due may result in suspension of services, removal of temporary access, or pausing of project work until the account is brought current, subject to the agreement.

4. Intellectual Property

Upon full payment for custom deliverables, you receive the rights granted in your statement of work (typically a license to use bespoke software or documentation for your internal business purposes). Area 9 Technology, LLC retains rights to its pre-existing tools, templates, methodologies, and general know-how. Open-source or third-party components remain subject to their respective licenses.
